Terms of Service

These Terms of Service apply to all services provided by Glasscow Studio, including website design, website development, marketing, and branding services.


1. Definitions

Glasscow Studio
The service provider, being the two-person studio delivering the services.

Client / you
The individual or legal entity receiving services from Glasscow Studio.

Service / Project
The agreed work, such as website design, development, marketing advice, or related services.


2. Applicability

These terms apply to all quotes, agreements, and services provided by Glasscow Studio.

Any deviations from these terms are only valid if agreed upon in writing.

By engaging Glasscow Studio, you agree to these Terms of Service.


3. Quotes & Agreements

Quotes are non-binding unless explicitly stated otherwise.

An agreement is formed once you provide written approval of a quote, by email or other written confirmation.

Glasscow Studio reserves the right to decline any project without providing a reason.


4. Pricing & Payment

All prices are exclusive of VAT, unless stated otherwise.

Payment must be made according to the terms agreed in the quote or agreement.

In the event of late payment, Glasscow Studio reserves the right to suspend work until payment has been received.

Any additional work or costs not included in the quote will be discussed and agreed upon in advance.


5. Delivery & Timelines

Glasscow Studio aims to provide clear and realistic project timelines.

All timelines are indicative and not strict deadlines.

Delays may occur due to circumstances beyond our control, including:

  • late or incomplete delivery of content or feedback;

  • changes in project scope;

  • technical or external dependencies.

We will inform you promptly of any significant changes to the timeline.


6. Client Cooperation

Timely input, feedback, and approvals from you are required to successfully complete a project.

Glasscow Studio is not responsible for delays or issues resulting from late, incomplete, or incorrect information provided by the client.


7. Intellectual Property

All designs, code, and other materials created by Glasscow Studio remain the property of Glasscow Studio until full payment has been received.

After full payment, the client obtains the right to use the delivered work for their own business purposes, including the website as delivered. The client may host the website wherever they choose and modify it themselves or through third parties.

Glasscow Studio retains ownership of its methods, techniques, frameworks, tools, and reusable components that are not developed specifically for the client.

Unless otherwise agreed, Glasscow Studio may display the delivered work in portfolios and other promotional materials.


8. Warranties & Liability

Glasscow Studio performs its services to the best of its ability and professional standards.

We do not guarantee specific outcomes, including but not limited to:

  • search engine rankings;

  • conversion rates;

  • commercial or financial results.

Glasscow Studio is not liable for indirect damages, consequential losses, loss of data, or loss of revenue.

Any liability is in all cases limited to the amount of the relevant invoice.


9. Cancellation, Termination & Handover

The client may terminate a project. Work already performed will be invoiced.

If termination occurs after full payment:

  • the delivered work remains the property of the client;

  • Glasscow Studio will make the agreed deliverables available;

  • reasonable cooperation will be provided for handover if required.

If termination occurs before full payment:

  • all work remains the property of Glasscow Studio;

  • the work will not be delivered or transferred.

Any additional support or assistance after termination or handover is not included and may be provided at an additional cost.


10. Maintenance & Ongoing Services

Maintenance, support, hosting, SEO services, or marketing services are agreed separately.

Ongoing services are subject to separate agreements and terms.


11. Governing Law & Disputes

These Terms of Service are governed by Dutch law.

Disputes will first be resolved through mutual consultation.

If resolution is not possible, disputes will be submitted to the competent court in the Netherlands.
